Background:
A registered person seeking cancellation of registration under Section 29(1) of the CGST Act applies in FORM GST REG-16 within 30 days of the event warranting cancellation. Under the erstwhile Rule 20 read with Rule 22(3), the proper officer was required to pass an order of cancellation in FORM GST REG-19 within 30 days of the application. In practice, cancellation applications remained pending for long periods, registrations stayed suspended indefinitely, notices in FORM GST REG-03 were issued seeking documents and reconciliations, and taxpayers who had closed their business continued to receive late-fee demands and non-filing notices. Separately, a final return in FORM GSTR-10 had to be filed within three months of the cancellation order, which was frequently missed, attracting late fee.
The 57th GST Council (08.10.2026) recommended rationalisation of the cancellation process in two phases. In Phase 1, applications in FORM GST REG-16 are to be accepted automatically by the system, once all pending returns are filed and all dues are paid, where (i) the taxpayer has not passed on ITC exceeding ₹2.5 lakh in any month since registration, or (ii) the taxpayer has passed on ITC exceeding ₹2.5 lakh in a month but has filed the final return in FORM GSTR-10 within the specified time. In Phase 2, all applications are to be accepted automatically, with FORM GST REG-16 amended to capture GSTR-10 details in the application itself.
What the Notification provides:
Now, the CBIC vide Notification No. 05/2026-Central Tax dated 26.10.2026 has substituted Rule 20 of the CGST Rules, 2017 (titled “Cancellation of registration on request of taxpayer”) with effect from 01.11.2026, implementing Phase 1. The substituted rule provides as under:
- Application [Rule 20(1)]: The application in FORM GST REG-16 is to be filed within 30 days of the event warranting cancellation, with details of inputs held in stock, inputs contained in semi-finished/finished goods and capital goods held in stock, the liability thereon and payment made, along with supporting documents. The 30-day time limit does not apply in the event of death of a sole proprietor.
- Pre-conditions for filing [Rule 20(2)]: No application can be filed unless (a) all returns, including statements in FORM GST CMP-08 where applicable, due on or before the date of application for periods ending on or before the date from which cancellation is sought, have been furnished; and (b) where FORM GSTR-1/IFF for a tax period has been furnished, FORM GSTR-3B for that tax period has also been furnished. Two illustrations have been incorporated in the rule (e.g., an application filed on 13.07.2026 requires GSTR-3B for May 2026 to have been filed; if GSTR-1 for June 2026 was filed on 11.07.2026, GSTR-3B for June 2026 must also be filed first).
- Returns for the residual period and suspension [Rule 20(3) and (4)]: Returns for the remaining period up to the date of application / date from which cancellation is sought must be furnished by their due dates, and the registration stands suspended from submission of the application till completion of proceedings.
- Automatic cancellation by the portal [Rule 20(5)]: Where the returns have been furnished within time and tax, interest, fee, penalty or other dues have been paid, and either (a) the output tax liability (CGST, SGST/UTGST, IGST and cess) declared in FORM GSTR-1/1A/IFF on supplies to registered persons did not exceed ₹2.5 lakh in any month from the date of registration till the date of application, or (b) the registered person has filed FORM GSTR-10 within three days from the due date of furnishing the returns referred to in sub-rule (3), the registration is cancelled electronically by the common portal from the date sought, and communicated in new FORM GST REG-38.
- Officer route for other cases [Rule 20(6) to (12)]: Where returns are pending or dues are unpaid, the application is forwarded to the proper officer, who must, within 15 days, either cancel the registration by order in FORM GST REG-19 or issue a deficiency notice in FORM GST REG-03. The applicant has 15 days to reply in FORM GST REG-04; the officer must then, within 15 days, approve (REG-19) or reject (REG-05). Non-reply results in deemed rejection intimated in FORM GST REG-05A. If the officer fails to act within 15 days of receipt of the application or of the reply, the application is deemed approved and communicated in FORM GST REG-19.
- Legal heirs [Rule 20(13)]: The rule applies mutatis mutandis to legal heirs of a deceased proprietor.
- Change in effective date of cancellation [Rule 20(14) to (20)]: Where, after cancellation, the officer has reason to believe that the effective date should be changed to an earlier date under Section 29(3), a show cause notice is to be issued in new FORM GST REG-34; reply in FORM GST REG-35 within 30 days; order dropping proceedings in FORM GST REG-36 or order changing the effective date in FORM GST REG-37 within 30 days of the reply (or within 60 days of the notice where no reply is filed). If no order is passed within 60 days of the notice, the proceedings are deemed dropped (REG-36). The effective date once changed cannot be changed again.
- Consequential changes: FORM GST REG-16 has been amended with effect from 01.12.2026 to rationalise the reasons for cancellation (e.g., “no longer liable to be registered under Section 22 or 24, or opting out of voluntary registration under Section 25(3)”, “transfer of business on account of death of the proprietor”, “transfer of business for any other reason including amalgamation, demerger or other disposal”), to insert an option to file a NIL return for the period after the last return filed up to the date of cancellation, and to recast the tables for stock and ITC reversal. Rule 44 has also been amended from 01.12.2026 so that the ITC reversal on inputs/capital goods in stock is determined and furnished in FORM GST REG-16 (in addition to FORM GST ITC-03), and the reference to Section 29(5) in Rule 44(1) has been omitted.
Effective date:
The substituted Rule 20 and new FORM GST REG-38 are effective from 1st November, 2026. The amendments to FORM GST REG-16 and Rule 44 take effect from 1st December, 2026. It may be noted that while sub-rules (14) to (20) of Rule 20 are effective from 01.11.2026, the Notification inserts the corresponding FORMS GST REG-34 to REG-37 with effect from 1st April, 2027. Taxpayers intending to surrender registration should ensure that all returns (including GSTR-3B for every period for which GSTR-1/IFF has been filed) are filed and dues paid before applying, so that the application is processed automatically by the portal.
