The Institute of Chartered Accountants of India (ICAI) has released a comprehensive publication titled “Frequently Asked Questions on Section 8 Companies under the Companies Act, 2013”, aimed at enhancing clarity and strengthening compliance among stakeholders engaged in the not-for-profit sector. The publication, brought out by the Corporate Laws & Corporate Governance Committee of ICAI, provides structured and practice-oriented guidance on the legal, procedural, and regulatory framework governing Section 8 Companies.
Section 8 Companies, as defined under the Companies Act, 2013, are established to promote charitable objectives such as education, healthcare, social welfare, environmental protection, research, and other activities of public utility. These entities are characterized by the application of their profits solely towards their stated objectives and are prohibited from distributing dividends to their members, thereby ensuring transparency and accountability in their operations.
The publication highlights that Section 8 Companies have emerged as key institutional mechanisms for implementing social initiatives and Corporate Social Responsibility (CSR) projects in India. With the strengthening of the CSR regime, such entities are increasingly playing a pivotal role in channelizing corporate resources towards inclusive growth and sustainable development.
It further elaborates on the evolving regulatory landscape, including statutory provisions, rules, exemptions, and compliance requirements, thereby addressing practical challenges faced by professionals and stakeholders. The guidance also covers critical aspects such as incorporation procedures, governance structure, financial management, CSR interface, and regulatory compliance obligations.
ICAI has emphasized that the objective of this publication is to bridge the gap between legal provisions and their practical implementation, enabling informed decision-making and promoting sound governance practices. The initiative is expected to serve as a valuable reference for professionals, industry participants, and organizations involved in not-for-profit activities, thereby contributing to improved regulatory compliance and effective functioning of Section 8 Companies in India.
